BASF in Exclusive Talks with Bayer to Acquire Vegetable Seeds Business

With this transaction, BASF targets to enhance its future seed platform and the market position of its Agricultural Solutions business.

BASF (No. 25 on the DiversityInc Top 50 Companies list) is in exclusive talks to acquire Bayer's entire vegetable seeds business, operating under the global trademark Nunhems. Bayer (a DiversityInc Noteworthy Company)  intends to divest this business in the context of its planned acquisition of Monsanto. Definitive agreements have not been concluded. With this transaction, BASF targets to enhance its future seed platform and the market position of its Agricultural Solutions business.


On October 13, 2017, BASF signed an agreement to acquire significant parts of Bayer's seed and non-selective herbicide businesses. The all-cash purchase price is €5.9 billion, subject to certain adjustments at closing. The assets to be acquired include Bayer's global glufosinate-ammonium non-selective herbicide business as well as its seed businesses for key row crops in select markets: canola hybrids in North America under the InVigor brand using the LibertyLink trait technology, oilseed rape mainly in European markets, cotton in the Americas and Europe as well as soybean in the Americas.

The transaction also includes Bayer's trait research and breeding capabilities for these crops and the LibertyLink trait and trademark. This acquisition complements BASF's crop protection business and marks its entry into the seed business with proprietary assets in key agricultural markets.

With AUROOM, BASF's Coatings division introduces a digital platform which enables OEM designers to access a database of photo-realistic virtual car colors. BASF's virtual colors capture all facets of automotive coatings including lightness flop, color flop and sparkling. By mapping these colors on car models, OEM designers can virtually paint every color proposal and gain realistic impressions of colors and effects on a complete car already in an early design phase. AUROOM will be a valuable tool for OEM designers to speed up and perfect the overall color design process as they are no longer solely dependent on physical samples that need to be painted and shipped. AUROOM provides further innovative features like real-time side by side comparison of different color shades of the same color group to make the right color decision easier.

Stefan Oelrich to Join Bayer Board of Management and Head Pharmaceuticals Division

Oelrich will succeed Dieter Weinand, who is leaving the company as of November 1, 2018 and joining the Executive Committee of Sanofi and will be based in the United States.

The Supervisory Board of Bayer AG has appointed Stefan Oelrich (50) to the company's Board of Management. He will succeed Dieter Weinand as head of the Pharmaceuticals Division as of November 1, 2018. Weinand is leaving the company for family reasons. He will be joining the Executive Committee of Sanofi and will be based in the United States. Oelrich is currently a member of the Executive Committee of Sanofi with responsibility for the global diabetes and cardiovascular business. He previously had a long career in Bayer's Pharmaceuticals business.

Bayer Completes Biggest Acquisition in its History

Bayer successfully completed the biggest acquisition in its history in the second quarter of 2018, while operational performance improved, even without taking into account the newly acquired Monsanto business. Sales advanced at three of the four segments on a currency- and portfolio-adjusted basis (Fx & portfolio adj.). "We are on track to achieve our annual targets," said Werner Baumann, Chairman of the Board of Management, when he presented the interim report on Wednesday. EBITDA before special items increased thanks to growth at Crop Science and Animal Health. Bayer has adjusted its Group outlook to account for the sales and earnings contributions from Monsanto from the date of the acquisition. The company aims to pay out a dividend per share for 2018 that is at least at the same level as in the prior year.

BASF closed the acquisition of Bayer's global vegetable seeds business, mainly operating under the brand Nunhems®. The transaction adds a well-recognized brand with a very successful business track record to BASF's portfolio. The acquired vegetable seeds business comprises 24 crops and about 2,600 varieties. It also includes well-established, strong R&D and breeding systems with over 100 unique breeding programs in more than 15 crops.
